Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GenIsec.AI platform and services. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

• "Platform" - the GenIsec.AI GRC software-as-a-service application
• "Services" - the Platform, website, APIs, and related services provided by GenIsec.AI
• "Customer" - the organization that subscribes to the Services
• "User" - any individual authorized by the Customer to access the Services
• "Customer Data" - data uploaded or entered by Customer or Users into the Platform

2. Account and Access

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You may not share credentials or allow unauthorized individuals to access the Platform
• We reserve the right to suspend accounts that violate these Terms

3. Permitted Use

You may use the Services solely for your internal business purposes in accordance with your subscription plan. You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the integrity or performance of the Services
• Resell or sublicense the Services without prior written consent
• Use automated tools to scrape or extract data from the Platform

4. Customer Data

• You retain all rights to your Customer Data
• You grant us a limited license to process Customer Data to provide the Services
• We will not access Customer Data except to provide the Services, respond to support requests, or as required by law
• Upon termination, we will make Customer Data available for export for 30 days, after which it will be permanently deleted

5. Intellectual Property

The Platform, including all software, designs, documentation, and content, is the intellectual property of GenIsec.AI. Your subscription grants a non-exclusive, non-transferable license to use the Services during the subscription term.

6. Service Availability

• We target 99.9% uptime for the Platform
• Scheduled maintenance will be communicated in advance
• We are not liable for downtime caused by factors beyond our reasonable control
• Service level commitments are defined in your subscription agreement

7. Subscription and Payment

• Subscriptions are billed according to the selected plan and billing cycle
• Fees are non-refundable except as required by law
• We may update pricing with 30 days' prior notice before a new billing cycle
• Overdue payments may result in service suspension

8. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information exchanged in connection with the Services. This obligation survives termination for 3 years.

9. Limitation of Liability

To the maximum extent permitted by law, GenIsec.AI's total liability under these Terms is limited to the fees paid by the Customer in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

We will indemnify you against third-party claims alleging that the Platform infringes their intellectual property rights. You will indemnify us against claims arising from your use of the Services in violation of these Terms or applicable law.

11. Termination

• Either party may terminate with 30 days' written notice at the end of a billing cycle
• We may terminate immediately for material breach, including non-payment
• Upon termination, your access to the Platform will cease
• Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination

12. Governing Law

These Terms are governed by the laws of the State of Israel. Any disputes shall be resolved in the courts of Tel Aviv-Jaffa, Israel.

13. Changes to Terms

We may update these Terms with 30 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance. If you disagree, you may terminate your subscription.
